Welcome to MyBioSpot ("MyBioSpot," "we," "us," or "our"). By creating an account, accessing, or using our website, mobile applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. If you act on behalf of a business, you warrant you have authority to bind that entity. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account.

2. Your Subscription & Plan

MyBioSpot is offered on a subscription basis with a free trial and paid tiers. Plans, pricing, and features are shown on our Pricing page. Subscriptions renew for the selected duration unless cancelled. We may change pricing on reasonable notice; existing paid periods are honored at the price paid.

Affiliate Revenue Share: Where you participate in the MyBioSpot affiliate program, any revenue share, commission rate, or payout terms are offered at our discretion. MyBioSpot reserves the right to amend the revenue share terms (including commission rates, eligibility, and payout schedules) at any time, with changes taking effect for future referrals and payments. We will provide reasonable notice of material changes; existing approved commissions remain payable under the terms in effect when they were approved.

3. Seller Transactions — Facilitator Only

Where you use MyBioSpot to sell products or accept payments, MyBioSpot acts as a technology facilitator only and is not a party to any transaction between you and a buyer. We are not a bank, payment processor (except where we explicitly process an M-PESA STK push on your behalf), or escrow agent. Disputes between buyers and sellers are resolved between those parties. We may, at our discretion, suspend accounts engaged in fraud or chargebacks.

4. User Content & License (Marketing Consent)

You may post, upload, or otherwise make available content including your profile photo, images, videos, audio, text, links, product listings, bio, business card details, and storefront materials ("User Content"). You retain ownership of your User Content.

By submitting User Content to MyBioSpot, you grant us a worldwide, non-exclusive, royalty-free, fully-paid, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, edit, publish, translate, create derivative works from, distribute, perform, and display your User Content — in whole or in part — in any media, format, or channel, whether now known or later developed — for the purposes of operating, providing, improving, securing, promoting, and marketing the Service and the MyBioSpot brand.

• •This includes the right to feature your profile, images, links, storefront, testimonials, analytics, or results in advertisements, social media, landing pages, case studies, partner showcases, and other promotional materials — without additional consent or compensation to you.
• •You agree that MyBioSpot may use your name, @username, profile picture, and content for these purposes in the same way platforms such as TikTok, Facebook, and Instagram do.
• •You represent and warrant that you own or control all rights to your User Content and that the license above does not infringe any third-party rights.
• •If you do not want specific content used for promotional marketing, you may request its removal from marketing materials by contacting us; however, content needed to operate and display the Service will continue to be processed under this license.

5. Acceptable Use

You agree not to:

• •Post content that is unlawful, infringing, fraudulent, defamatory, hateful, harassing, or sexually explicit involving minors.
• •Impersonate another person or misrepresent your affiliation.
• •Use the Service to sell illegal goods, weapons, unregulated drugs, counterfeit items, or prohibited financial schemes.
• •Scrape, overload, reverse-engineer, or attempt to disrupt the Service or access another user's data.
• •Evade payment or process payments outside approved flows to avoid fees.
• •Upload malware or content that violates third-party rights.

We may remove content and suspend or terminate accounts that violate these rules, at our sole discretion, without notice.

6. Payments, M-PESA & Third-Party Processors

Subscription and seller payments may be processed via M-PESA (including STK push), PayPal, Stripe, or other methods we enable. By initiating a payment you authorize us and our payment partners to charge the selected method. M-PESA transactions are subject to Safaricom's terms; STK pushes depend on your Daraja configuration. We are not liable for failures originating with Safaricom, PayPal, Stripe, or your bank.

7. Intellectual Property

The Service, brand, design, and software are owned by MyBioSpot and protected by intellectual-property laws. These Terms grant no rights to our trademarks or content except as stated. Your User Content remains yours subject to the license in Section 4.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any sales or marketing results will occur.

9. Limitation of Liability

To the maximum extent permitted by law, MyBioSpot, its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to the Service — even if advised of the possibility — and our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnity

You agree to indemnify and hold harmless MyBioSpot from any claims, damages, losses, and expenses (including legal fees) arising out of your User Content, your breach of these Terms, your violation of law, or your transactions with buyers.

11. Termination

You may close your account at any time. We may suspend or terminate your account and remove your content if you violate these Terms, if your subscription expires, or for any business reason with notice. Upon termination, the content license in Section 4 survives to the extent content has already been incorporated into our Service or marketing materials.

12. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya. Any dispute shall be resolved in the courts of Kenya, unless we agree otherwise in writing. We may update these Terms from time to time; material changes will be notified in-app or by email. Continued use after changes constitutes acceptance.
